AUSTIN, Texas - Gazzang Inc. has closed a $2 million offering of shares and debt securities, raising the amount from one investor, according to an SEC filing.
Principals named in the filing by the Austin-based technology company are:
· President and CEO Lawrence Warnock;
· Vice President of Finance and Operations Patti Soch;
· Co-Founder and Vice President of Sales Michael Umansky; and
· Co-founder Christopher Gillam.
· Director Thomas Ball of Austin Ventures;
· Director John Adler of Dallas-based Silver Creek Ventures.
Gazzang, which has previously known as Critotech Inc., makes security software for cloud computing platforms. Its Platform-as-a-Service (PaaS) solutions help organizations address the inherent risk associated with open source software tools. Gazzang's clients include companies across various domains including financial services, healthcare, higher education and technology.

Larry Warnock
President & CEO
As president and CEO, Larry Warnock is responsible for Gazzang's leadership, operations and strategic direction. He brings more than 27 years of operational expertise working with startups and established technology companies to his role at Gazzang, particularly in the enterprise software and data center tools markets.
Larry is the former president and CEO of Phurnace Software, a leading developer of software that accelerates the deployment and configuration of Java-based web applications. Acquired by BMC Software in 2009, the software continues to be an important and rapidly growing product for BMC.
Patti Soch
VP of Finance & Operations
Patti Soch is responsible for finance, operations and human resources at Gazzang. She provides strategic guidance in the financing of our expansion as well as guides the execution of all accounting, contracting, facilities and HR functions.
During her career, Patti has been directly involved in venture fund raising, complex global financial reporting, company acquisitions, overseas expansions, and managing supplier relationships.
Patti was most recently VP of Finance & Operations of Phurnace Software, Inc. Phurnace was acquired by BMC Software (NASDAQ: BMC) in December 2009. Over the last 25 years, she has held financial leadership positions in a full range of software product and services companies including System Fabric Works, VIEO, UniSQL and Uniplex.
Patti has a BBA degree in Accounting from the University of Texas at Arlington and attended SMU's Executive MBA program. She also is the Treasurer of the Austin Technology Council and has been active with Impact Austin, a non-profit group that directs women's contributions to charitable causes in central Texas.
Michael Umansky
Co-Founder & VP of Sales
Michael Umansky co-founded Gazzang in 2008 with the belief that securing the cloud would amplify widespread adoption of this burgeoning technology.
Michael leads the sales team for Gazzang, including the technical pre-sales resources. Before launching Gazzang, Michael built and managed the R1Soft sales team at both BBS Technologies and prior to its acquisition by BBS, at PointSecure. He has deep experience in the database and data center tools market. Earlier in his career he co-founded startup Blastro.com, a leading online music destination.
Michael graduated magna cum laude from the University of Texas at Austin with a bachelor of science in communications. He serves on the volunteer committee for the DePelchin Children's Center in Houston and is a runner who enjoys competing in marathons.
Chris Gillan
Co-Founder
Chris Gillan is co-founder of Gazzang and a startup veteran with more than 20 years of experience in sales, sales management and business development, primarily in the data center tools market.
Chris is a senior sales representative at Gazzang focused on identifing and closing new propsects. The company is leveraging his years of sales and sales managment experience to grow its installed base. Chris co-founded the company with the vision of creating a new encryption platform for open-source and cloud computing. Before launching Gazzang, Chris was the regional sales manager for Idera, a leading developer of tools for SQL Server and SharePoint administration, and also led teams designed to bring new products to market at BindView. Other technology industry experiences includes serving as senior account executive at BMC Software, where he focused on driving adoption of new enterprise software and data center management tools, and business development roles in the technology and market research industries. Chris attended Texas State University and the University of Houston's School of Architecture. Chris is active in the community, serving on both the board of trustees and the building committee for The Harvest United Methodist Church.

Thomas Ball
Partner | Venture Capital
Thomas Ball, Partner, joined Austin Ventures in 2005 and focuses on software and Internet investing. Before joining Austin Ventures, Thomas was CEO and Co-founder of Openfield Technologies and Razorgator Interactive Group. While there he helped grow Razorgator to the premier secondary ticket provider and marketplace. Prior to Openfield, Thomas was the Chairman, CEO and Founder of eCoupons (acquired by Lifeminders, NASDAQ: LFMN). Thomas also has experience in private equity investing and strategy consulting from his time as a Principal at Discovery Capital and as an Engagement Manager at Mitchell Madison Group.
Thomas received an MBA from the Stanford University Graduate School of Business and a BS in Finance with honors from the University of Florida.

John Adler
Mr. Adler joined Silver Creek Ventures as a General Partner in 2007. His areas of expertise include data and voice communications, semiconductors, and wireless applications. Mr. Adler has also served as a board member of the Texas Venture Capital Association and SMU MBA Venture Fund since their inception.
Prior to joining Silver Creek, Mr. Adler served as a Partner with InterWest, a leading diversified venture capital firm in information technology and life sciences. Current board participation includes Pivot3 Inc., and OneSpot.
Prior to InterWest Partners, Mr. Adler developed 17 years of operating experience in product management and engineering from Rockwell International, Alcatel, Monterey Networks and Cisco Systems. Mr. Adler received a Bachelor of Science in Electrical Engineering and MBA from Southern Methodist University and has authored or co-authored six US patents.
